MUNICH – Reed Smith has advised ENGIE AXIMA, a subsidiary of French multinational energy group ENGIE, on its acquisition of Hamburg-headquartered Noske-Kaeser Group (Noske-Kaeser) out of insolvency proceedings through a combined share and asset deal. The acquisition was subject to antitrust clearance by the German Federal Cartel Office.

ENGIE Axima designs, builds, and manages HVAC installations (heating, ventilation, air-conditioning), cooling and freezing systems and fire safety equipment. 

Noske-Kaeser operates a shipbuilding and offshore business encompassing various entities worldwide. The company designs and provides system solutions and components in the fields of air conditioning, ventilation, refrigeration, piping, and firefighting. Its products are used in various applications such as surface vessels, submarines, offshore wind energy platforms, passenger ships, mega yachts, merchant and special purpose ships and army field services.
